Terms of Service

These Terms of Service govern your use of the seemekoo platform and related services provided by SEEMEKOO VISION LLC ("seemekoo," "we," "us," or "our"). seemekoo is a local creator marketplace that helps businesses ("Brands") connect with content creators ("Creators") for promotional content, service-based collaborations, and local marketing campaigns. By creating an account, posting or accepting a task, making a payment, receiving a payout, or otherwise using the platform, you agree to these Terms.

You must be at least 18 years old and legally able to enter into a binding agreement to use seemekoo. If you use seemekoo on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms. You agree to provide accurate, complete, and current information when creating and maintaining your account. You are responsible for safeguarding your login credentials and for all activities that occur under your account. We may require identity verification, business verification, tax documentation, payment verification, or other compliance information at any time.

seemekoo provides a marketplace, matching workflow, communication tools, and payment-related tools that help Brands and Creators find each other and collaborate. Unless expressly stated otherwise, seemekoo is not the direct provider of Creator services and is not a party to the underlying agreement between a Brand and a Creator. seemekoo does not guarantee the quality, legality, performance, timing, safety, availability, accuracy, or results of any user, content, service, collaboration, or campaign.

Brands may post tasks, budgets, timelines, deliverables, usage requirements, and other project terms through the platform. Creators may apply for or accept tasks only if they are able and willing to perform the work as described. Once a task is accepted, both parties are expected to cooperate in good faith, communicate clearly, and follow the agreed requirements, deadlines, revisions, and deliverables. Any material change to the scope, budget, timeline, deliverables, or usage rights should be clearly documented in writing.

Users must provide truthful information, comply with applicable laws and regulations, follow platform policies, and act honestly and professionally. Users may not submit, request, create, post, or deliver content that is unlawful, deceptive, infringing, abusive, harmful, or misleading. Creators are responsible for ensuring that their content, statements, and actions are accurate and lawful. Brands are responsible for providing lawful instructions and may not ask Creators to produce deceptive, infringing, illegal, or non-compliant content.

If a Creator produces sponsored, endorsed, or compensated content, the Creator is responsible for making any legally required disclosures clearly and appropriately, including disclosures required by advertising laws, consumer protection laws, or third-party platform rules. Brands may not instruct, encourage, or pressure Creators to hide material connections or to make false, misleading, or unsupported claims.

Payments on seemekoo may be processed through third-party payment providers, including Stripe or other providers designated by seemekoo. By using the platform, you authorize seemekoo and its payment partners to process transactions, hold funds where permitted, release funds according to platform rules, and deduct applicable fees, taxes, reversals, refunds, chargebacks, or other amounts owed. Payout timing may depend on identity verification, account verification, task status, milestone completion, platform review, dispute review, reserve requirements, payment processor timelines, tax documentation, and other legal, compliance, or risk controls. seemekoo does not guarantee that payouts will be released on any specific date.

seemekoo may delay, reverse, offset, or withhold funds if a transaction is disputed, refunded, reversed by a payment processor, subject to chargeback, associated with suspected fraud, or affected by a policy violation. Refunds may be granted in whole or in part based on task status, submitted evidence, platform rules, processor rules, or applicable law. If seemekoo or its payment providers incur losses, fees, reversals, penalties, or liabilities related to your transaction or conduct, you authorize seemekoo to recover those amounts from funds otherwise payable to you or by any other lawful means.

Each user retains ownership of their pre-existing intellectual property and materials. Unless otherwise agreed in writing, once a Brand has fully paid for an approved deliverable, the Brand receives only the usage rights or license expressly described in the task, order details, or platform settings. No broader rights are granted unless clearly stated. Creators may not reuse, resell, or relicense custom content in a way that conflicts with the rights granted to the Brand. By uploading, submitting, or transmitting content through seemekoo, you grant seemekoo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, use, and process that content as reasonably necessary to operate, secure, improve, support, and enforce the platform.

You may not:

• ·provide false, incomplete, or misleading information;
• ·impersonate another person or business;
• ·infringe intellectual property, privacy, publicity, or other legal rights;
• ·engage in fraud, spam, harassment, abuse, threats, or unlawful conduct;
• ·upload malware, malicious code, or harmful material;
• ·manipulate ratings, reviews, applications, matching, or payment flows;
• ·use the platform to promote illegal goods, illegal services, or deceptive schemes;
• ·bypass or circumvent required payments, fees, policies, or platform workflows;
• ·interfere with platform security, operations, or other users' access;
• ·scrape, copy, or misuse platform data without authorization.

If a dispute arises between users, seemekoo may review messages, files, timestamps, task terms, revisions, platform activity, and other available evidence. Based on the information available, seemekoo may place funds on hold, delay payouts, cancel tasks, restrict account functions, issue full or partial refunds, or take other platform actions. Any decision made by seemekoo for marketplace administration purposes does not replace any rights or remedies that may be available under applicable law.

seemekoo may suspend, restrict, or terminate your account at any time if we believe you violated these Terms, breached platform policies, failed required verification, engaged in fraud or abuse, created risk to other users, or exposed seemekoo to legal, financial, operational, or reputational harm. After suspension or termination, certain content, records, transactions, or funds may remain subject to review, legal obligations, payment processor rules, or dispute resolution requirements.

seemekoo may rely on third-party services, including payment processors, cloud providers, messaging tools, map services, analytics providers, identity verification providers, and social media platforms. Your use of those services may also be subject to the terms, policies, and technical limitations of those third parties. seemekoo is not responsible for the acts, omissions, outages, delays, policies, data practices, or decisions of third-party providers.

Nothing in these Terms creates any employment, agency, partnership, joint venture, fiduciary, or franchise relationship between seemekoo and any user, or between Brands and Creators, unless expressly stated in a separate written agreement. Creators are independent service providers. Brands are independent customers or business users of the platform.

seemekoo is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, seemekoo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, availability, security, accuracy, and fitness for any business objective or result. We do not guarantee that the platform will always be error-free, uninterrupted, secure, timely, or suitable for your specific needs.

To the fullest extent permitted by law, seemekoo and its affiliates, officers, directors, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, business, contracts, customers, opportunities, data, goodwill, or reputation arising out of or related to the platform, even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless seemekoo and its affiliates, officers, directors, employees, contractors, and service providers from and against any claims, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your use of the platform, your transactions, your violation of these Terms, or your violation of any law or third-party rights.

We may update these Terms from time to time. If we make material changes, we may provide notice through the platform, by email, or by other reasonable means. The updated Terms will become effective on the date stated above or as otherwise specified. Your continued use of seemekoo after the updated Terms become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of [California], without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the seemekoo platform shall be resolved exclusively in the state or federal courts located in [County, California], unless applicable law requires otherwise. You consent to the personal jurisdiction and venue of those courts.
